Ronin Legal assisted a UAE-based healthcare fund with matters including negotiation and finalization of various agreements, deals, and documents, including:
1. A drug co-development deal with a Canadian pharmaceutical company developing advanced drug delivery systems.
Under this arrangement, the client funded the development of a novel drug delivery technology, which the parties jointly licensed to several contract manufacturing organisations (CMOs) across various jurisdictions. We advised on several aspects of this deal, most significantly on the intellectual property rights of each party.
2. Licensing and technology transfer agreements with a number of CMOs across the globe, including Medice, a Swiss pharmaceutical company valued at EUR 300 million.
3. Drafting, negotiating, and advising on a joint venture. It was created to handle the co-development activities of the firms, manage the deals with CMOs, and handle the distribution of commercialisation revenues. We assisted in the assignment of all existing contracts with commercialisation partners to the join venture.
4. Drafting and negotiating a licensing and technology transfer agreement between the firm and a $2.8Mn Swedish pharmaceutical company with global operations, in select global markets.

3. Drafting transaction documents for a potential joint venture with a UAE-based investment company.
4. Drafting several brand endorsement agreements with athletes, fitness experts, coaches, and influencers, under the terms of which such individuals provided promotional and other allied services to Ultrahuman.
5. Reviewing and updating the terms of use and privacy policy of their products.
Ronin Legal represents a B2B trading platform verticalized in the home décor sector, enabling independent retailers and brands to source design-led products directly from artisanal manufacturers across India and Southeast Asia.
Ronin Legal assists the client with its end-to-end legal requirements, and so far has assisted with:
1. Negotiating transaction documents with Matrix Partners and WaterBridge Ventures for raising a $5 million pre-seed venture capital funding round. We negotiated the term sheet, share subscription agreement, and the shareholders agreements, and advised the client on its rights under the documents and the risks associated with accepting certain terms. We also assisted the client with corporate secretarial and post-transactional requirements.
2. Reviewing and Negotiating the transaction documents with Alteria Capital while raising a venture debt round of $2 million. We also assisted the client with corporate secretarial and post-transactional requirements.
3. Drafting and templatising service agreements with vendors, employment agreements, and consulting agreements.
4. Drafting and finalising its ESOP Policy, including obtaining investor consent, drafting resolutions, and advising the client on grants.
5. Drafting various policies, including the anti-corruption, the no-conflict, and the fraud detection policies.
6. Advising on trademark opposition and registration, and assisting with drafting of a bank guarantee, employee settlement agreement, and other employment matters.
Ronin Legal assisted a UAE-based consulting firm, providing AI-driven solutions to companies for HR and workforce management with:
1. Structuring a partnership between the firm and an AI developer to develop the product. We also advised the client on the intellectual property rights of each party.
2. Drafting and templatising non-disclosure agreements with potential investors.
3. Advising the client on the integration of a public database into the AI tool developed by the firm.

We have also advised the client on several data protection regulations in various jurisdictions, including the UK and EU.
The world’s 3rd largest hearing aids conglomerate with revenues of USD 2.8 BN in FY 24. Ronin Legal advised its Indian subsidiary with a proposed acquisition of its exclusive supplier in India. We assisted with several matters, including:
1. Conducting due diligence, identifying major legal risks in the target company’s operations under Indian laws, and preparing a report for the client highlighting these risks and advising on mitigation strategies.
2. Advising on Indian laws and legal requirements, including competition law, transfer pricing law, and foreign investment law.
3. Drafting key transaction documents, including the share subscription and purchase agreement and shareholders’ agreement, and conducted multiple rounds of review based on client feedback.
USD 150 Mn UAE-based pharma conglomerate, now a Mubadala portfolio company. Ronin Legal assisted the client with drafting and negotiation several supply-chain contracts for contract development and manufacturing, supply, distribution, and in/out-licensing deals across jurisdictions.
US-based online platform that aggregates and lists clinical trials, enabling patients to find promising clinical trials and get in touch with the researchers directly.
Ronin Legal assisted the client with various commercial agreements, including:
1. MSAs and Platform Patient Recruitment Provider Agreements with a diverse customer base, including the world’s largest provider of clinical trial and business intelligence tools, clinical research organisations, and hospitals. These agreements governed the use of Power’s clinical trial listing platform and involved complex legal and commercial considerations, particularly in relation to the handling of protected health data.
2. Data protection agreements and platform terms of use.
An ESG consulting firm based in the US and UAE. Ronin Legal assisted the UAE-entity with templatising their service agreements with contractors and customers.
An AI-driven start-up focused on image generation, recognition and visualisation specifically targeted to provide solutions to the retailing industry.
Ronin Legal advised the client on software licensing agreements with technology companies providing image recognition solutions that digitize physical retail environments. Under these agreements, the client created a repository of 3D models of products, and provided merchandizing and promotional insights to its client. These agreements involved complex issues of intellectual property ownership.
